IMPORTANT LEGAL NOTICE
THIS END USER LICENSE AGREEMENT ("EULA") CONSTITUTES A LEGALLY BINDING AGREEMENT BETWEEN YOU AND THE COMPANY. BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SOFTWARE, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS EULA. IF YOU DO NOT AGREE TO THIS EULA IN ITS ENTIRETY, YOU MUST NOT DOWNLOAD, INSTALL, ACCESS, OR USE THE SOFTWARE.
1. PARTIES
This End User License Agreement ("EULA") is entered into by and between Graymatter Limited LLC, doing business as Cyber Falcon, with its principal place of business in Ohio, United States (hereinafter referred to as "Company," "We," "Us," or "Our"), and any individual or legal entity that downloads, installs, accesses, or uses the Software, including its heirs, agents, successors, and permitted assigns (hereinafter referred to as "You" or "Your").
If You accept this EULA on behalf of a legal entity, You represent and warrant that You have the legal authority to bind such entity, in which case references to "You" shall refer to that entity.
2. DEFINITIONS
For purposes of this EULA, the following capitalized terms shall have the meanings set forth below. Singular includes plural and vice versa.
2.1 "Authorized User" means any individual expressly authorized by You, where applicable, to access and use the Software under a valid license.
2.2 "Commencement Date" means the earliest of:
- (a) Your acceptance of this EULA;
- (b) Your installation or execution of the Software; or
- (c) Your use of any portion of the Software or Services.
2.3 "CrossX Overlay" or "Software" means the proprietary Windows-based desktop software application known as CrossX Overlay, including all executable files, updates, patches, upgrades, documentation, interfaces, designs, and related components.
2.4 "Perpetual License" means a one-time paid license granting indefinite use of the Software, subject to this EULA.
2.5 "Subscription Plan" means a monthly or annual paid license subject to recurring billing.
2.6 "Services" means license validation, update distribution, telemetry, analytics, and related support services provided in connection with the Software.
2.7 "Third-Party Software" means any software, library, service, or component developed or owned by a third party and integrated with or utilized by the Software.
2.8 "Intellectual Property Rights" means all worldwide intellectual property rights, including copyrights, trademarks, trade secrets, patents, and proprietary rights.
3. SOFTWARE DESCRIPTION & FUNCTIONAL LIMITATIONS
CrossX Overlay is a standalone Windows-only desktop application that renders a visual crosshair overlay on a user's display.
3.1 Explicit Non-Interaction Representation
You expressly acknowledge and agree that the Software:
- Does not read from, write to, inject into, or modify any third-party game files
- Does not access, inspect, or alter game memory, APIs, or network communications
- Does not automate gameplay, simulate user input, or manipulate in-game mechanics
- Operates independently of all third-party software environments
4. LICENSE GRANT
Subject to Your compliance with this EULA and the applicable license type, the Company hereby grants You a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely for Your personal or internal lawful purposes.
No ownership rights are transferred under this EULA.
5. LICENSE TYPES AND SCOPE
5.1 Free Tier
A limited-feature license provided at no charge, subject to modification or revocation at the Company's discretion.
5.2 Subscription License
A time-limited license subject to recurring billing. Subscriptions automatically renew unless canceled prior to renewal.
5.3 Perpetual License
A Perpetual License grants You the right to use the Software indefinitely and includes all future updates and releases of CrossX Overlay made generally available by the Company.
The Perpetual License does not include:
- Guaranteed compatibility with all future operating systems or games
- Priority or dedicated support
- Custom feature development
6. DEVICE-BASED ACTIVATION & LICENSE VERIFICATION
The Software employs device-based license activation utilizing cryptographically hashed hardware identifiers.
6.1 No raw hardware serial numbers are stored.
6.2 License verification may occur at launch or during execution.
6.3 You shall not interfere with, block, alter, or bypass license validation mechanisms, including by network restriction or software modification.
7. THIRD-PARTY PLATFORMS & ANTI-CHEAT DISCLAIMER
The Software is not affiliated with, endorsed by, or approved by any game publisher, platform, or anti-cheat provider.
You acknowledge and accept that:
- Certain platforms prohibit overlays
- Enforcement actions, including bans or suspensions, are outside Company control
- Use of the Software is entirely at Your own risk
8. USER OBLIGATIONS AND RESTRICTIONS
You shall not, directly or indirectly:
- Reverse engineer, decompile, disassemble, or modify the Software
- Circumvent licensing, activation, or security mechanisms
- Use the Software for cheating, automation, exploits, or unfair gameplay
- Sell, sublicense, lease, distribute, or commercially exploit the Software
- Perform or publish benchmarks or security testing without written consent
9. PAYMENTS, RENEWALS & NO-REFUND POLICY
9.1 Subscriptions
Subscriptions renew automatically unless canceled prior to the renewal date.
9.2 No Refunds
ALL SALES ARE FINAL.
No refunds or credits shall be issued for:
- Subscriptions
- Partial billing periods
- Perpetual licenses
10. UPDATES, AVAILABILITY & DISCONTINUATION
The Software may include automatic update functionality. You consent to the delivery and installation of updates.
The Company reserves the right to:
- Modify or discontinue features
- Suspend or discontinue the Software
- Change technical requirements
Unavailability does not excuse payment obligations.
11. TERM & TERMINATION
This EULA remains effective from the Commencement Date until terminated.
The Company may terminate this EULA immediately upon Your breach. Upon termination, You must cease all use of the Software.
12. INTELLECTUAL PROPERTY RIGHTS
All Intellectual Property Rights in the Software remain the exclusive property of the Company.
Nothing in this EULA shall be construed as transferring ownership or proprietary rights.
13. PRIVACY & DATA PROTECTION
Use of the Software is subject to the Company's Privacy Policy.
The Company may analyze aggregated and anonymized data for internal analytics and product improvement. Such data remains Company intellectual property.
14. DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.
15. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
16. INDEMNIFICATION
You agree to indemnify and hold harmless the Company from any claims arising from:
- Your use or misuse of the Software
- Violation of this EULA
- Violation of third-party rights or laws
17. FORCE MAJEURE
Neither party shall be liable for failure to perform due to events beyond reasonable control, including acts of God, war, labor disputes, or governmental actions.
18. GOVERNING LAW & JURISDICTION
This EULA is governed by the laws of the State of Ohio, without regard to conflict-of-law principles.
Exclusive jurisdiction lies in state or federal courts located in Ohio.
19. SEVERABILITY
If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
20. AMENDMENTS
The Company may amend this EULA at any time. Continued use of the Software after such amendments constitutes acceptance.
